Introduction

1.1 Acceptance of Terms: By accessing or using our services, including our website and any associated platforms, you agree to be bound by these Terms and Conditions.

1.2 Definitions: In these Terms and Conditions, “we,” “us,” or “TheZoo.London” refers to TheZoo.London Consultant Collective, and “you” refers to the user, consultant, or client accessing our services.

Services

2.1 Registration and Consultant Pool: Consultants are required to register their information with TheZoo.London via the ‘join us’ form, providing accurate and up-to-date details. TheZoo.London maintains a pool of consultants for potential project assignments.

2.2 Client Brief and Evaluation: Clients will provide project briefs to TheZoo.London, either directly through ‘brief us’ or via email. TheZoo.London will evaluate the project requirements and identify the most suitable consultants from the pool for consideration.

2.3 Consultant Selection and Engagement: The client has the final decision on which consultant to engage for the project. TheZoo.London will facilitate the introduction between the client and the selected consultant. The consultant will then engage directly with the client to carry out the work.

2.4 Project Check-Ins: TheZoo.London will conduct regular project check-ins, approximately every two weeks, to ensure client satisfaction and consultant performance. Any concerns or issues will be addressed promptly. 

Obligations and Liability

3.1 Accuracy of Information: While TheZoo.London endeavours to maintain accurate information, we do not guarantee the accuracy, completeness, or timeliness of the data provided by consultants or clients. Users acknowledge that they are responsible for the accuracy of the information they provide.

3.2 Notice Period for Consultant Change: TheZoo.London reserves the right to change the assigned consultant with a notice period of 5 working days if circumstances require it to ensure the successful completion of the project. TheZoo.London reserves the right to replace consultants on a project.

3.3 Non-Employment Relationship: TheZoo.London acts solely as an intermediary connecting clients with consultants. The consultant is not an employee of TheZoo.London, and the relationship between the consultant and the client is independent.

3.4 Payment Terms: Both parties agree to the TheZoo.London payment terms as set out by the SOW (Statement of Work) and Consultant Agreement.

3.5 Tax Obligations: Consultants are solely responsible for ensuring compliance with all relevant tax obligations as required by HMRC (Her Majesty’s Revenue and Customs). TheZoo.London does not have oversight or responsibility for the tax affairs of consultants. In the event of longer term placements, IR35 rules would apply and the client would be responsible for deducting the appropriate taxes and NICs from the consultant’s earnings.

3.6 Confidentiality and Data Protection: TheZoo.London will handle user data in accordance with applicable data protection laws and our Privacy Policy. However, TheZoo.London cannot guarantee the security of data transmitted through the website or any associated platforms.

Consultant and Client Obligations

4.1 Collective Obligations: Neither clients nor consultants introduced through TheZoo.London must not engage in direct business relationships without an ongoing fee being paid to TheZoo.London over a period of 12 months. 

4.2 If a TheZoo.London consultant intends to engage another consultant from TheZoo.London collective, either as part of their own project or as a recommendation to a third party, all briefs must come through TheZoo.London briefing process. Any breach of this obligation may result in legal action.

4.3 If a TheZoo.London consultant brings a new brief into TheZoo.London that results in a paid for project, TheZoo.London will pay the consultant a finders fee to be paid in line with the consultant agreement.

4.4 Client Finders Fee: Clients agree to pay TheZoo.London a finders fee in line with the consultant agreement if they hire a consultant introduced to them by TheZoo.London on a permanent basis and with whom they have worked within the previous 12 months.

4.5 Marketing and Publicity: TheZoo.London may seek permission from consultants and clients to use their partnership in marketing materials and promotions. TheZoo.London will provide notice and seek explicit consent for such usage. Clients also agree to allow TheZoo.London to highlight their association for marketing purposes.

AWR, EAS, and Health and Safety

5.1 Compliance: TheZoo.London and its users shall comply with the applicable provisions of the AWR (Agency Workers Regulations), EAS (Employment Agencies Standards), and health and safety regulations governing the services provided.

Termination

6.1 Termination Rights: TheZoo.London reserves the right to terminate or suspend access to its services at its discretion, with or without cause, and without prior notice.

6.2 Effect of Termination: Termination of services does not relieve users of any obligations or liabilities accrued prior to termination.

Governing Law and Jurisdiction

7.1 Applicable Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which TheZoo.London operates. Any disputes shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
